This Registration Statement on Form S-8 is being filed to register the offer and sale of an additional 1,000,000 shares of Common Stock, $0.0001 par value per share (the “Common Stock”), of Cerulean Pharma Inc. (the “Registrant”) to be issued under the Registrant’s 2014 Stock Incentive Plan (the “Stock Incentive Plan”) and an additional 273,468 shares of Common Stock to be issued under the Registrant’s 2014 Employee Stock Purchase Plan (together with the Stock Incentive Plan, the “Plans”).
